The following terms will be used as described below throughout the entirety of this document:
The following General Terms and Conditions have been created to manage expectations of all parties involved with the freight forwarding services of SFS for clients. These General Terms and Conditions shall prevail over any other agreements unless found to be of peremptory norm.
SFS may engage with Third Party Service Providers to fulfill all or some of the services requested.
SFS shall perform its services in accordance with the client`'`s submitted instructions, as provided via website submission, email, or any other digitally recorded form of communication. In the absence of a separate written agreement specifying different contractual terms, the client—whether acting as the owner of the goods or as an agent or representative of another party—assumes full responsibility for all rights and obligations outlined in these general conditions.
Unless the client receives written approval from SFS, all shipments are to be prepaid. Clients who have shipped with us a minimum of 5 times may be eligible for credit terms. Credit terms are not applicable on charges related to customs including, but not limited to, duties and taxes, clearance, etc... All accounting related questions and items should be handled through our accounting department by e-mail at accounting@simplefreightsolutions.com
Simple Freight Solutions can provide written quotations for shipments prior to booking. More aggressive, customized pricing is available upon request after a thorough review of shipment data.
Any pricing or quotation provided should be considered an estimate until the completion of all services have been performed by SFS. Additional charges may occur that were not quoted to the client during the quoting process due to additional services being required to complete the shipment.
The client bears all responsibility for expenses or fees that occur during services performed by SFS including, but not limited to:
SFS will do everything possible to maintain the validity of any prices offered to the client. Any rates provided to the client by SFS are subject to change for many reasons including, but not limited to:
The Company’s liability for loss or damage to goods shall be limited to the lesser of:
SFS shall not be liable for any indirect, incidental, or consequential damages.
SFS can arrange insurance coverage upon the Client`'`s written request. Such insurance will be subject to the terms and conditions of the insurance policy obtained.
The Customer agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from:
These Terms shall be governed by and construed in accordance with the laws of the state of New York
Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
These Terms constitute the entire agreement between the Company and the Customer, superseding all prior agreements or understandings, whether written or oral.
SFS reserves the right to amend these Terms at any time. Such amendments will be effective upon notice to the Client.
SFS shall not be liable for any failure to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, war, or labor disputes.
Both SFS and the Client agree to maintain the confidentiality of any proprietary information received in the course of their business relationship.
All notices required under these Terms shall be in writing and sent to the addresses provided by the parties.
The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
The Client may not assign its rights or obligations under these Terms without the prior written consent of SFS.
